Terms of Sale and Receipt

GOOD FEEDING TERMS OF SALE AND RECEIPT

These Terms of Sale and Receipt (“Terms of Sale and Receipt”) apply to your purchase or other receipt of Go Well baby food servings (“Products”) as part of a 24-week guided flavor training and infant feeding program (the “Program”)designed to establish healthy eating habits with baby and delivered to your door from Good Feeding, whether pursuant to a subscription plan or otherwise. Subscriptions are provided by Good Feeding (USA) LLC, dba Good Feeding, and its subsidiaries and affiliated companies (“Good Feeding” or “we”).

All of the terms and conditions of the terms of service (“Terms”) are incorporated into these Terms of Sale and Receipt by reference.

We may make changes to these Terms of Sale and Receipt from time-to-time. If we make changes, we will provide you with notice of such changes, such as by sending an email or updating the date at the top of these Terms of Sale and Receipt. Unless we state otherwise in our notice, the amended Terms of Sale and Receipt will be effective immediately unless otherwise stated in these Terms of Sale and Receipt.

SUBSCRIPTIONS

General

Good Feeding offers the Go Well Program via a “Subscription Plan”.

The Program is 24-week guided flavor training and infant feeding program designed to establish healthy eating habits with baby and delivered right to your door with weekly deliveries.

The duration of the subscription plan is 24 weeks (“Subscription Period”)

The applicable subscriptions fees consist of an initial charge followed by recurring periodic charges (the “Subscription Fees”) are as follows:

  • When you first sign up for a subscription plan to the Program, you are initially charged $299 for the first four weeks of the Program (“Initial Charge”). This initial charge payment is non-refundable even if you cancel the subscription plan during the first four weeks of the Program.
  • Weeks 5 to Weeks 24 (inclusive) are $129.99 per week (“Recurring Charges”). On the Sunday prior to your fifth delivery your card will be automatically charged $129.99 and will continue to be charged each Sunday at the price of $129.99 until the 24th week.
  • Subscription fees include standard delivery fees.
  • Subscription fees are exclusive of any applicable taxes.

Once you have selected the subscription plan, you will be bound by the terms and conditions of such plan (including the payment of the applicable Subscription Fees) until you cancel or otherwise modify the subscription plan you selected. We may modify the Subscription Fees, but such modifications will not be effective until the directly subsequent Subscription Period.

Unless we state otherwise, all payments (a) must be made by payment card via Good Feeding (or its authorized payment processor), and (b) are non-refundable.

You authorize Good Feeding (or its authorized payment processor) to charge the payment card provided to Good Feeding in accordance with the terms and conditions of the subscription plan selected, and you represent and warrant that you are authorized to use and have fees charged to the payment card provided by you to Good Feeding. You understand that you may withdraw such authorization by contacting Good Feeding at support@goodfeeding.com.

If your payment method fails or your payment is past due, we may suspend your subscription. We also may collect fees owed by charging other payment methods on file with us or retain collection agencies and legal counsel. Good Feeding, or the collection agencies we retain, may also report information about your account to credit bureaus, and as a result, late payments, missed payments, or other defaults on your account may be reflected in your credit report.

Continuous Subscriptions and Cancellation Policy

WHEN YOU REGISTER FOR A SUBSCRIPTION, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

  • GOOD FEEDING (OR OUR THIRD-PARTY PAYMENT PROCESSOR) IS AUTHORIZED TO CHARGE THE PAYMENT CARD PROVIDED BY YOU IN ACCORDANCE WITH THE TERMS AND CONDITIONS OF THE SUBSCRIPTION PLAN YOU SELECTED (IN ADDITION TO ANY APPLICABLE TAXES AND OTHER CHARGES) FOR AS LONG AS YOUR SUBSCRIPTION PERIOD CONTINUES. PLEASE REMEMBER THAT, UNLESS CANCELLED, YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW FOR A PERIOD EQUIVALENT TO THE PERIOD OF YOUR INITIAL SUBSCRIPTION PERIOD.
  • THE AMOUNT YOU ARE CHARGED AND THE NUMBER OF PRODUCTS YOU RECEIVE MAY VARY DEPENDING ON THE SUBSCRIPTION PLAN YOU SELECT.
  • YOUR SUBSCRIPTION IS CONTINUOUS UNTIL YOU CANCEL IT OR WE SUSPEND OR STOP PROVIDING ACCESS TO THE PRODUCTS OR THE SUBSCRIPTION PERIOD REACHES THE END, IN ACCORDANCE WITH THESE TERMS OF SALE AND RECEIPT.

If you wish to cancel or modify your subscription to the Program, you can do so at any time by contacting our Customer Service team via phone +1 877 460 1333 or email support@goodfeeding.com.

Any amounts charged to or paid by you prior to such cancellation or modification will not be refunded, and cancellations or modifications may not impact any order for which you have already been charged, depending on the status of the order.

The initial cost of $299.99 is non-refundable, and includes the food, materials and delivery fees and collateral for the first four weeks of the Program.

All Program weeks are automatically renewed on the Sunday prior to the delivery. To avoid being charged for weeks you do not want to receive, you must cancel your subscription plan prior to 6pm EST on the Sunday that you will be charged for your next delivery (the “Billing Cut-Off”).

Modifications & Changes

You may make modifications to your Program as it applies to your account details, delivery address, billing information and/or delivery schedule. Any changes to your Program that will impact an upcoming delivery must occur prior to the billing cut off for that delivery.

Changes to your information and delivery schedule can be made by logging in to your Member Account (“Account”). The Program is intended to be consumed continuously and in order. Therefore, we do not recommend making any changes to the default schedule. However, in the event you need to postpone an upcoming delivery you can do so within your Account by selecting “skip” for an upcoming week. This will allow the upcoming delivery to be delayed by a single calendar week and will extend the end date of your Program out a single calendar week. This is true for each “week” skipped. Skipping a week does not opt out of the receipt of that box, just delays its arrival.

Any changes made following the billing cut-off will not be accommodated for the same week and no credits will be given to replace delivery errors that may occur as a result.

We do not accommodate any modifications to the Program as it relates to the Go Well pouches, and/or making adjustments to exclude any ingredients based on preference or allergen. SUBSTITUTION

Although Good Feeding takes every reasonable measure to have sufficient inventory to fulfill your subscription or otherwise provide Product(s) to you, availability of Product(s) may change without notice. Good Feeding is not responsible for the unavailability of Product due to popular demand, whether discontinued or still in production. Good Feeding reserves the right to substitute a similar product. Substituted food items may contain different ingredients and allergens than those in items originally ordered. Prior to consumption, please be sure to carefully check all individual product packages for the most updated information regarding ingredients and nutritional content, including new and improved items, if your child has any food allergies or if you are otherwise concerned about any particular ingredients.

SHIPPING AND RETURNS

We use third-party carriers to deliver Products and we provide you with tracking information for every package. It is very important that you provide us with the proper shipping information and any special instructions that the delivery driver may need.

We do not allow returns of Products. All sales are final.

FOOD SAFETY AND NUTRITION INFORMATION

Please note that because our Products are continually being developed, nutritional information on our websites, mobile applications, and social media accounts reflects recent updates to Products based on evolving ingredients. The nutritional information for Products at the time of their preparation is reflected on the labels on our meal containers. Therefore, nutritional information for Products in your possession may not match the nutritional information with respect to those Products that is displayed on our websites, mobile applications, or social media accounts. Good Feeding will not be responsible for any loss or damage resulting from your reliance on nutritional information, nor for ensuring that whatever Products are purchased or consumed are in accordance with such purchaser’s or consumer’s respective dietary needs, restrictions or preferences. Always check the ingredients associated with any Products that you receive from Good Feeding to avoid potential allergic reactions.

You should always consult with your pediatrician or other healthcare professional before adopting any dietary advice or providing any of our Products to yourself, your children, or children under your care, whether offered by and through Good Feeding or otherwise.

Products may contain or may have been manufactured in a facility that also processes dairy, eggs, fish, shellfish, soy, and tree nuts. If you have (or anyone under your guardianship has) an allergic reaction or other adverse health event, promptly contact your health care provider.

LIMITATIONS OF LIABILITY

To the fullest extent permitted by applicable law, Good Feeding and our subsidiaries and affiliates, and each of our respective officers, directors, agents, partners and employees (individually and collectively, the “Good Feeding Parties”) will not be liable to you under any theory of liability—whether based in contract, tort, negligence, strict liability, warranty, or otherwise—for any indirect, consequential, exemplary, incidental, punitive, or special damages or lost profits, even if Good Feeding or the other Good Feeding Parties have been advised of the possibility of such damages.

The total liability of Good Feeding and the other Good Feeding Parties for any claim arising out of or relating to these Terms of Sale and Receipt or our Products, regardless of the form of the action, will not exceed the Subscription Fees actually paid by you to Good Feeding during the Subscription Period within which the damages occurred or, if no Subscription Fees were applicable, $100.

The limitations set forth in this Section will not limit or exclude liability for the gross negligence, fraud or intentional misconduct of Good Feeding or the other Good Feeding Parties or for any other matters in which liability cannot be excluded or limited under applicable law. Additionally, some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you.
